Terms and Conditions
of the Charlie Lounge Platform

These terms and conditions govern the rights and obligations between you as a user of the services and the operator of the digital platform Charlie Lounge. Please read them carefully before using the platform. By creating an account, purchasing a membership, or using the platform's services, you confirm that you have read and agree to these terms.

Note: All prices on this page and in the platform are listed in USD, unless explicitly stated otherwise.

I. Identification of the Operator

  1. The operator of the Charlie Lounge platform (hereinafter referred to as the "Provider") is:

  3. The Provider provides services in the form of the digital platform Charlie Lounge (hereinafter referred to as the "Platform"), available via the Internet.

II. Definitions

  1. "Platform" is the online environment of Charlie Lounge, in which the Provider offers users access to tools, AI agents, and other functions according to the selected membership.
  2. "User" is any natural or legal person who has created an account in the Platform or otherwise uses the Provider's services.
  3. "Consumer" is a User who is a natural person and concludes a contract with the Provider outside the scope of their business activity or outside the scope of the independent performance of their profession.
  4. "Membership" is paid access to a set of services and functions of the Platform within the scope of the selected plan (Explorer, Creator, or Visionary).
  5. "GPT Agent" is an individually configured AI assistant created by the Provider for the User based on information supplied by the User.
  6. "Visionary Setup" is a one-time turnkey service package included in the Visionary membership, which includes one of the offered solutions (webchat, reputation management, or social media pack).

III. Conclusion of Contract and Registration

  1. The contractual relationship between the Provider and the User arises:
    1. by completing the membership order on the Provider's website and paying for it, or
    2. by creating a user account in the Platform and simultaneously agreeing to these terms and conditions.
  2. Before sending the order, the User has the opportunity to check and modify all entered data. The Provider recommends checking billing details, the selected membership type, and payment details in particular.
  3. After confirming the order, the Provider will send the User a confirmation of the contract conclusion and access data or instructions for setting up the account to the provided email address.
  4. The contract is concluded in the Czech language, unless expressly agreed otherwise. The contract, including the terms and conditions, is archived by the Provider in electronic form and is not accessible to third parties.

IV. User Account

  1. To use the Platform, the User is obliged to create a user account, or the account may be created by the Provider based on an order. The User is obliged to provide true and complete information during registration.
  2. The User is obliged to protect their account access credentials and not disclose them to third parties. The Provider bears no responsibility for misuse of the account by a third party if it occurred as a result of a breach of the User's obligations.
  3. The User is obliged to inform the Provider without undue delay of any unauthorized access to the account or suspicion thereof.
  4. The Provider is entitled to temporarily block or permanently cancel the user account if the User violates these terms and conditions or uses the Platform in violation of applicable legal regulations.

V. Scope of Services and Membership

  1. The Provider offers three types of membership:
    1. Explorer – monthly membership with a basic scope of services,
    2. Creator – membership with a one-time setup fee and extended support,
    3. Visionary – membership with a one-time setup fee and a premium turnkey solution.
  2. The exact content of individual membership types (functions, limits, and benefits) is always listed on the Provider's website and in the current price list. In case of discrepancy, the information stated in the order or contract takes precedence.
  3. Included in every membership is:
    • access to the Charlie Lounge Platform,
    • creation of a custom GPT agent based on information supplied by the User,
    • basic online support through communication channels listed in the Platform.
  4. Included in the Creator membership is additionally the provision of a consultation within the scope specified on the Provider's website (e.g., 2 hours of onboarding consultation with an expert).
  5. Included in the Visionary membership is additionally the provision of one Visionary setup (webchat, reputation management, or social media pack) according to the User's choice. Specific parameters and scope of the setup are listed on the Provider's website and in the order confirmation.
  6. The Provider is entitled to continuously improve services, change their technical parameters, or expand the range of functions, provided that this does not result in a substantial deterioration of the agreed services.

VI. Service Price and Payment Terms

  1. Prices for individual membership types are listed on the Provider's website in the Pricing section and in the order process. Prices are stated in USD and are final, unless explicitly stated otherwise (e.g., information about VAT inclusion).
  2. For Explorer membership, the price is paid via a monthly payment in advance for the given billing period.
  3. For Creator and Visionary memberships, the User pays:
    1. a one-time fee (setup fee) upon ordering, and
    2. a recurring monthly payment for membership, which begins to be charged after the first 30 days from membership activation.
  4. Payments are made non-cash via a payment gateway or by other means stated in the order. Any fees of payment service providers are borne by the User, unless stated otherwise.
  5. The User agrees to automatic recurring billing for the duration of the membership. Information about frequency, amount, and cancellation options is always listed in the order and in the user account.
  6. In case of the User's delay in paying the service price, the Provider is entitled to limit or suspend the provision of services until the owed amount is fully paid.

VII. Duration of Contract and Termination of Membership

  1. The contract is concluded for an indefinite period, unless explicitly stated otherwise.
  2. The User may terminate the membership at any time via their user account or other means stated in the Platform. Termination of membership has no retroactive effect on already paid periods.
  3. The Provider may terminate the contract with a notice period of 1 month, unless stated otherwise below. The notice period begins on the first day of the month following the delivery of the notice.
  4. The Provider is entitled to terminate the contract with immediate effect if the User seriously breaches these terms and conditions or uses the Platform in violation of legal regulations.
  5. After termination of the contract, the Provider may retain the User's data for a reasonable period to the extent necessary to fulfill its legal obligations. Details are provided in the Privacy Policy.

VIII. Consumer Rights and Withdrawal from Contract

  1. The User who is a consumer acknowledges that the subject of the contract is the provision of digital content and related services. By activating the membership and providing access to the Platform, the Provider begins to fulfill the contract.
  2. The Consumer generally has the right to withdraw from a contract concluded remotely within 14 days of its conclusion, provided that the services were not provided in full with their prior express consent.
  3. The Consumer expressly agrees that the Provider shall begin providing services (especially access to the Platform and creation of the GPT agent) immediately after the contract is concluded. At the moment when the services are provided in full, the Consumer loses the right to withdraw from the contract pursuant to Section 1837(l) of the Civil Code.
  4. If the Consumer exercises the right to withdraw from the contract before the services are provided in full, they are obliged to pay a proportionate part of the price for the performance already provided.
  5. Withdrawal from the contract can be made via email to the Provider's contact address or by other means stated in the instructions for Consumers. The Provider recommends stating the User's identification, order number, and date of contract conclusion.

IX. Service Complaints

  1. If the User believes that the services are not being provided in accordance with the contract or these terms and conditions, they are entitled to file a complaint.
  2. A complaint can be submitted via the Provider's contact email or via support in the Platform. The User should describe the defect or problem in as much detail as possible and provide their account identification details.
  3. The Provider undertakes to settle the complaint without undue delay, no later than 30 days from the date of its delivery, unless agreed otherwise with the User.
  4. In the case of a justified complaint, the Provider will provide an appropriate remedy, in particular removing the defect, providing the service again, or a discount on the price. The claim for a refund of amounts already paid is assessed individually, taking into account the extent of services used.

X. Personal Data Protection

  1. The processing of Users' personal data is governed by a separate document "Privacy Policy", which is available on the Provider's website.
  2. The User acknowledges that for the purposes of providing services, it is necessary for the Provider to process certain personal data of the User, and grants consent to this to the extent determined by relevant legal regulations and the Privacy Policy.

XI. Copyright and License

  1. The Platform, all its content, and software are protected by copyright and other intellectual property rights. All these rights belong to the Provider or third parties who have granted the relevant license to the Provider.
  2. The User is entitled to use the Platform only for their own needs to the extent agreed in the contract and these terms and conditions. They are not entitled to copy, modify, decompile, or otherwise interfere with the source code of the Platform.
  3. The User is responsible for ensuring that all materials they provide to the Provider for setting up the GPT agent or other services do not infringe the rights of third parties.

XII. Liability

  1. The User acknowledges that the outputs of AI tools (including GPT agents) are of a recommending and supporting nature and cannot fully replace human professional judgment. The User is always obliged to evaluate the outputs with regard to the specifics of their business.
  2. The Provider is not liable for any damage or lost profit caused by incorrect use of the Platform, AI outputs, or set processes, if such use is in conflict with these terms and conditions or the Provider's instructions.
  3. The Provider's liability for damage caused to a User-entrepreneur is limited to the amount corresponding to the monthly membership fee for the period in which the damage occurred, up to a maximum of the total amount of payments for the last 6 months.

XIII. Changes to Terms and Conditions

  1. The Provider is entitled to unilaterally change or supplement these terms and conditions, especially due to changes in legal regulations, expansion of services, or changes in the operation of the Platform.
  2. The Provider will inform the User about the change in terms and conditions via email or notifications in the Platform, at least 14 days before the changes take effect.
  3. If the User does not agree with the change in terms and conditions, they are entitled to terminate the contract as of the date the changes take effect. By continuing to use the services after the changes take effect, the User expresses their consent to the new wording of the terms and conditions.

XIV. Out-of-Court Dispute Resolution

  1. If a dispute arises between the Provider and a User who is a consumer, the Consumer may contact the Czech Trade Inspection Authority (ČOI) as a subject of out-of-court resolution of consumer disputes.
  2. More detailed information on out-of-court resolution of consumer disputes is available on the website of the Czech Trade Inspection Authority: https://www.coi.cz.
  3. A User-entrepreneur shall contact the Provider directly in the event of a dispute and attempt to resolve the dispute amicably. If no agreement is reached, disputes will be resolved by the court having subject-matter and territorial jurisdiction according to the registered office of the Provider.

XV. Final Provisions

  1. Legal relations not regulated by these terms and conditions are governed by the legal order of the Czech Republic, in particular the Civil Code.
  2. If any provision of these terms and conditions proves to be invalid or ineffective, the remaining provisions remain valid and effective. The invalid provision will be replaced by a provision whose meaning is as close as possible to the invalid provision.
  3. These terms and conditions take effect on [December 1, 2025].
